With over forty years of litigation and transitional experiments, I am multidisciplinary attorney with a strong focus n heath law and employment law. I have successfully represented healthcare professionals across all specialties--both individuals and group practices--before their respective state licensing boards, including the Texas Medical Board, Texas Board of Nursing, Texas Board of Psychologists, and the Texas Board of Physical Therapy and Occupational Therapy.
My practice emphasizes proactive legal counsel. I advise healthcare providers on preventative strategies employment-related issues, HIPAA and cyber security compliance, and the development and implementation f workplace polices and procedures, including employee handbooks. I also provide strategic guidance on peer review proceedings and regulatory and administrative law matters.
I have significant experience in handling the sale and acquisition of professional practices, including the negotiation and drafting of asset purchase agreements, due diligence review and structuring transactions to comply with complex regulatory requirements. My work includes guiding healthcare professionals through full lifecycle of practice transitions--from valuation and letter of intent through closing and pst-sale obligations.
My contractual practice is comprehensive, with a particular focus n the review, analysis, negotiation, and drafting of employment agreements for healthcare professionals, I regularly assist physicians, advanced practice providers, and other licensed professional in understanding the legal and practical implications of contract terms related to compensation, termination, non-compete and non-solicitation provisions, call coverage, and productivity metrics. In addition, I handle a broad range of agreements including loan and lease contracts, service agreements, and practice governance documents. I also advise on and facilitate the formation of professional entities such as limited partnerships, processional corporations, and limited liability companies, with an emphasis on regulatory complacent and long-term operational success.
